These Professional Terms and Conditions of Sale (hereinafter the "Pro Terms") apply to orders placed by any legal entity or professional (hereinafter the "Professional Customer") via the Professional Access area of the artisansdulevant.org website, distinct from the general public shop governed by the Individual Terms and Conditions of Sale.
In accordance with Article L.441-1 of the French Commercial Code, they constitute the sole basis of the business negotiation.
The Pro Terms apply in particular to works councils and staff representative bodies (CSE), fine food shops, hospitality and catering businesses, resellers and any professional purchasing for the needs of their business. They expressly exclude private consumers, who are governed by the Individual Terms. Any order placed via the Professional Access area constitutes unconditional acceptance of these Pro Terms, which prevail over the Professional Customer's own general purchasing conditions.
Access to the Professional Access area requires the creation of a business account, subject to validation by ADL, including in particular: company name, legal form, SIRET number, intra-Community VAT number, billing and delivery address, and the business contact's details.
ADL reserves the right to refuse to open an account, or to suspend it, in the event of inaccurate information, a payment incident, or a breach of these Pro Terms. The Professional Customer undertakes to keep this information up to date.
The prices applicable to the Professional Customer are those of the professional catalogue assigned to them, expressed in euros excluding tax, and distinct from general public prices. The schedule of unit prices and any applicable discounts can be viewed in the Professional Access area once the account has been validated.
ADL reserves the right to change this schedule; the prices applicable are those in force on the day the order is placed. ADL may set differentiated pricing scales depending on volume, order frequency or the nature of the partnership (CSE, reseller, hospitality and catering), based on objective criteria.
Orders are placed online from the Professional Access area. They are firm and final once confirmed by ADL. The minimum order amount, where applicable, is stated in the Professional Access area and repeated when the basket is confirmed.
Any request to amend or cancel a confirmed order must be sent to ADL in writing; it can only be taken into account if preparation of the order has not yet begun.
Unless otherwise agreed in writing by ADL, payment is made in full at the time of ordering, by credit or debit card or by bank transfer, prior to dispatch.
Deferred payment terms may be granted by ADL on a case-by-case basis, after review of the account; they are then set out in writing and may not, in any event, exceed the maximum periods set by Article L.441-10 of the French Commercial Code.
No early payment discount is granted.
In the event of late payment, late payment penalties are automatically due, without any reminder being necessary, at a rate equal to the interest rate applied by the European Central Bank to its most recent refinancing operation, increased by 10 percentage points, and which may not be lower than three times the statutory interest rate, in accordance with Article L.441-10 of the French Commercial Code. A fixed recovery costs indemnity of 40 euros is also payable, without prejudice to any further compensation on production of supporting evidence.
In accordance with the statutory timetable for electronic invoicing between VAT-registered businesses established in France (Articles 289 bis and 290 of the French General Tax Code), invoices relating to orders placed by a VAT-registered Professional Customer established in France are, from the dates applicable to each party, issued, transmitted and received in electronic form via an approved platform.
The Professional Customer undertakes to have a compliant means of receipt and to provide ADL with, and thereafter keep up to date, the information required for its identification in the directory (SIREN/SIRET number, routing code where applicable, approved receiving platform). The Professional Customer acknowledges that the electronic invoice transmitted via the approved platform constitutes the original invoice and serves as evidence between the parties. ADL cannot be held liable for a failure of receipt caused by inaccurate or out-of-date directory information provided by the Professional Customer.
ADL retains full ownership of the products sold until the price, in principal and any accessories, has been paid in full by the Professional Customer. The risk of loss or damage, however, passes to the Professional Customer upon delivery. In the event of non-payment, ADL may require the return of the products at the Professional Customer's expense and risk.
Unlike the arrangements applicable to individuals, the Professional Customer is authorised to resell the products purchased as part of their declared professional activity (reseller, fine food shop, CSE, hospitality and catering), subject to compliance with ADL's brand image and product presentation requirements, and without this constituting a franchise or an exclusive distribution agreement.
A reselling Professional Customer remains responsible, in its dealings with its own customers, for compliance with the regulations applicable to food products, in particular as regards labelling, allergens, traceability, storage and consumer information.
Delivery terms are as described on the Delivery Terms page. Specific conditions may apply to volume orders: extended preparation times, pallet shipping, delivery to several points of sale. These are confirmed in writing to the Professional Customer when the order is confirmed.
Delivery times are given for guidance only; a delay cannot give rise to cancellation of the order, refusal of the goods, a penalty or damages, unless ADL has agreed otherwise in writing.
It is the Professional Customer's responsibility to check the products on delivery and, where applicable, to record precise and reasoned objections on the delivery note, then to confirm them to the carrier in writing within three (3) days of receipt, in accordance with Article L.133-3 of the French Commercial Code, with a copy to ADL.
The right of withdrawal provided for by the French Consumer Code does not apply to orders placed by a Professional Customer as part of their professional activity.
ADL guarantees that the products delivered conform to the agreed specifications and to the regulations applicable to food products. The ordinary statutory guarantees, in particular the guarantee against hidden defects (Articles 1641 et seq. of the French Civil Code), remain applicable.
ADL's liability is limited to the amount of the order concerned and excludes indirect or intangible damages, as well as loss of business, turnover, margin or custom.
Personal data collected as part of the professional relationship (contact details, billing data) is processed in accordance with the Privacy Policy, "Professional accounts" section.
Neither party may be held liable for a failure to perform its obligations resulting from an event of force majeure within the meaning of Article 1218 of the French Civil Code. The obligations affected are suspended for the duration of the impediment; if this exceeds three (3) months, either party may terminate the order concerned by registered letter, with no compensation payable by either party.
These Pro Terms are governed by French law. Failing an amicable resolution, any dispute falls within the exclusive jurisdiction of the Paris Commercial Court, including in the event of multiple defendants or third-party proceedings, unless mandatory legal provisions require otherwise.
